Terms of Service

1. Acceptance of Terms

By accessing or using the SiteStrategix™ platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. The Service is operated by Katie Kim, LLC d/b/a SiteStrategix™ ("SiteStrategix," "we," "us," or "our").

2. Description of the Service

SiteStrategix is a site-selection and incentive-intelligence platform that connects property owners, Economic Development Corporations ("EDCs"), real estate brokers, and expanding companies. The Service provides tools for listing available properties and developments, discovering economic incentives, matching businesses with communities based on site-fit analysis, and facilitating introductions between parties. The Service includes property directories, Red Carpet data rooms, qualification assessments, incentive matching, and engagement tracking.

3. Account Registration and Responsibility

You must register an account to access certain features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must be at least 18 years of age to register an account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription Plans, Beta Pricing, and Billing

SiteStrategix offers subscription plans for brokers and companies, including Broker Solo, Broker Pro, Company 10, and Company 50 tiers. During the beta period, plans are offered at reduced "Beta Pricing" rates through December 31, 2026. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle, through our payment processor, Stripe. By subscribing, you authorize us to charge the applicable subscription fees to your designated payment method through Stripe.

Renewals

Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless you cancel prior to the renewal date. You will be charged the then-applicable rate for your plan on the renewal date.

Cancellations and Refund Policy

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period — you will retain access to the Service until the end of the period for which you have already paid. No refunds are provided for partial billing periods. Annual subscribers who cancel will retain access through the end of their annual term.

Grandfathered Beta Rates

Subscribers who activate a subscription during the beta pricing period will be grandfathered into their initial beta rate for the life of their continuous subscription, even after beta pricing ends on December 31, 2026. Grandfathered pricing applies only to continuously active subscriptions and does not apply to new subscriptions activated after the beta period, or to subscriptions that have lapsed and are subsequently reactivated.

5. Listing Content and Ownership

Brokers and property owners retain all ownership rights to the listing content they submit to the Service, including property descriptions, images, videos, brochures, and related materials. By submitting listing content, you grant SiteStrategix a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content on the Service for the purpose of marketing the listed property.

Listing Accuracy

The accuracy of all listing information — including property details, pricing, availability, specifications, and broker license information — is the sole responsibility of the submitting broker or property owner. SiteStrategix does not independently verify listing content and makes no representations as to its accuracy or completeness.

6. No Brokerage or Agency Relationship

SiteStrategix is a marketing and technology platform. SiteStrategix does NOT act as a real estate broker, sales agent, or intermediary in any transaction, and does not represent any party in a real estate transaction. No brokerage, agency, or fiduciary relationship is created between SiteStrategix and any user by virtue of using the Service. SiteStrategix does not negotiate, draft, or execute any real estate agreements, leases, or purchase contracts.

Each property listing on the Service displays the responsible listing broker and their license information. For properties located in Texas, each listing includes the broker's Information About Brokerage Services (IABS) and Consumer Protection Notice (CPN) as required by the Texas Real Estate Commission. Users should direct all inquiries regarding a specific property to the listing broker identified on that listing.

7. Incentive Information

Incentive information provided on the Service — including grants, tax abatements, tax credits, infrastructure support, training programs, and loan programs — is provided for informational purposes only. Incentive availability, eligibility criteria, and award amounts are subject to change and depend on factors determined by the administering government body or agency. Incentive summaries on the Service do not constitute a guarantee of eligibility or award. Users must independently verify all incentive information directly with the administering body before relying on it for any business, financial, or investment decision.

8. Prohibited Uses

You agree not to use the Service to:

• Submit false, misleading, or fraudulent listing content or company information;
• Scrape, copy, or redistribute listing data or property information without authorization;
• Use the Service for any unlawful purpose or in violation of any applicable law;
• Attempt to gain unauthorized access to the Service, other users' accounts, or our systems;
• Interfere with or disrupt the Service, including introducing viruses or malicious code;
• Use the Service to send unsolicited communications or engage in deceptive marketing practices;
• Represent yourself as another user or misrepresent your affiliation with any person or entity.

9. Intellectual Property

The Service, including the SiteStrategix™ name, logo, branding, software, design, and proprietary matching algorithms, is owned by Katie Kim, LLC and protected by intellectual property laws. "SiteStrategix" and "SiteStrategix™" are trademarks of Katie Kim, LLC. You may not use our trademarks, logos, or branding without our prior written consent. Listing content submitted by users remains the property of the submitting broker or owner as described in Section 5.

10. Listing Transfer Policy

When a property listing is transferred from one broker to another — for example, when a brokerage relationship ends or a new broker assumes responsibility for a property — the listing transfer is processed through the Service's listing transfer workflow. The outgoing broker's content may be removed or reassigned, and the incoming broker assumes responsibility for listing accuracy and compliance from the transfer date forward. Listing transfers do not affect any active prospect inquiries or Red Carpet submissions already captured for that property.

11. Termination

You may terminate your account at any time by contacting us at katie@katiekim.com. We may suspend or terminate your access to the Service at any time, with or without cause, including if you violate these Terms. Upon termination, your listing content may be removed from the Service. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — shall remain in effect.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PROPERTY, INCENTIVE, OR MATCH INFORMATION IS ACCURATE, COMPLETE, OR CURRENT. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KATIE KIM, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in Texas.

15. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or through the Service. The updated Terms will be posted on this page with a new "Effective" date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
